Yanci Terms and Conditions

Yanci is a brand of Yanci Investments, LLC ("Yanci," "we," "us," or "our"), which operates the website investwithyanci.com and the Yanci mobile applications. When you access investwithyanci.com, our mobile applications, or any of our other services or websites, you agree to be bound by these Terms and Conditions ("Terms") and by the Yanci Privacy Policy, available at https://investwithyanci.com/privacy. Both may be updated from time to time. Please read them carefully.

1. General Information

Yanci is a digital wealth management platform available through web and mobile applications. Investment advisory, brokerage, and dealing services on the platform are provided by Teak Tree Brokerage Limited ("Teak Tree"), a company incorporated under the laws of Ghana. Teak Tree is licensed as a Broker-Dealer by the Securities and Exchange Commission (SEC) of Ghana.

In these Terms, references to "the Yanci App" or the "Platform" mean the services provided through the website and mobile apps, collectively, by Yanci and its affiliates, partners, agents, and employees. The provision of investment and brokerage services to Yanci clients is governed by the Client Agreements effective June 30, 2024.

2. Use of the Platform

The Yanci App is intended solely for use by individuals aged 18 or older. Access by anyone under 18 is not authorised. By using the Platform, you represent that you are 18 or older.

The Platform is intended for residents of Ghana and for persons in jurisdictions that permit investment in Ghanaian securities. If you access the Platform from outside Ghana, you do so at your own risk and are responsible for complying with your local laws.

To access certain features of the Yanci App, you must create a user account ("User Account"). You are responsible for safeguarding your password and any verification codes, and you agree to notify Yanci immediately if your account credentials are lost or stolen or if you suspect unauthorised use of your account.

3. Alerts, Notifications, and Service Communications

By creating a User Account, you agree to receive alerts and service communications by email, in-app or mobile push notification, and, where you have provided your mobile phone number and consented, by SMS (and WhatsApp, where offered). Text messages are governed by Section 4 (SMS Terms).

You may unsubscribe from marketing communications at any time. Service communications, such as security alerts, verification codes, and important account notices, will continue for as long as you have a User Account.

4. SMS Terms

Program name and operator. The Yanci SMS program is operated by Yanci Investments, LLC (brand name: Yanci).

How you opt in. You opt in to receive text messages from Yanci by providing your mobile phone number and checking the consent box when you join the waitlist, sign up for a User Account, or update your account settings.

Message types. Yanci may send you:

  • one-time passcodes (OTPs) and verification codes;
  • account and security alerts;
  • service notices, such as waitlist, onboarding, and important account updates; and
  • marketing messages, such as product updates, investing education content, and promotions, only if you have separately consented to receive them.

Message frequency. Message frequency varies.

Costs. Message and data rates may apply.

Opting out and help. Reply STOP to any message to cancel. Reply HELP for help, or email support@investwithyanci.com. After you reply STOP, we may send one final message confirming your opt-out. Opting out of marketing messages does not stop required security and account messages, such as OTPs and verification codes, which are needed to protect your account and provide the service.

Carriers. Mobile carriers are not liable for delayed or undelivered messages.

Consent not required. Your consent to receive marketing text messages is not a condition of any purchase or of using the Platform.

WhatsApp. Where Yanci offers messaging through WhatsApp, these SMS Terms apply to those messages as well, with any necessary changes. You can opt out using the instructions provided in WhatsApp or by contacting us.

Privacy. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes. For more information about how we handle your information, please see our Privacy Policy at https://investwithyanci.com/privacy.

5. Publicly Available Portions of the Platform

Public sections of the Platform are provided for educational purposes only and do not constitute legal, tax, or financial advice. You are responsible for your own investment decisions, and Yanci disclaims any liability for actions taken based on public Platform content.

6. Access to the Platform

Yanci reserves the right to deny access to the Platform at any time, without notice and for any reason. If there is any conflict between these Terms and a Client Agreement, the Client Agreement will prevail.

7. Investment Tools and Model Predictions

Yanci makes no representation about the performance of any investment, historical or otherwise. Past performance does not guarantee future results, and investments made through the Platform may lose value. The Platform may use third-party data, but Yanci does not guarantee its accuracy.

8. Changes or Delays in Security Information

Information such as price quotes and interest rates may be delayed by 24 hours or longer and is subject to change without notice.

9. External Links

The Platform may link to third-party websites and content. Yanci is not responsible for the accuracy, reliability, or opinions of third-party sites, and you access such content at your own risk.

10. Conditions of Use

You agree to comply with all applicable laws and to use the Platform only for personal, non-commercial purposes. You agree not to interfere with the Platform's proper functioning.

11. Access and Interference

You agree not to:

  • use any robot, spider, scraper, deep link, or other similar automated data gathering or extraction tool, program, algorithm, or methodology to access, acquire, copy, or monitor the Platform or any part of it without Yanci's express written consent, which Yanci may withhold in its sole discretion, except for software that sends queries to the Platform solely to index or rank a website for search purposes;
  • use or attempt to use any engine, software, tool, agent, or other device or mechanism (including, without limitation, browsers, spiders, robots, avatars, or intelligent agents) to navigate or search the Platform, other than the search engines and search agents available through the Platform and generally available third-party web browsers (such as Google Chrome, Apple Safari, Microsoft Edge, or Mozilla Firefox);
  • post or transmit any file that contains viruses, worms, Trojan horses, or any other contaminating or destructive features, or that otherwise interferes with the proper working of the Platform; or
  • attempt to decipher, decompile, disassemble, or reverse-engineer any of the software that makes up any part of the Platform.

12. Communications with Yanci or Teak Tree

Authorised employees or agents of Yanci may monitor and record communications for quality control, security, and other lawful purposes. You consent to such monitoring and recording.

13. Limitation of Liability

Yanci, Teak Tree, and their affiliated persons are not liable for any damages, including indirect, special, or incidental damages, arising from your use of the Platform. The total liability of Yanci and Teak Tree is capped at GHS 100.00.

14. No Warranties

All products, services, and content are provided "as is," without warranty of any kind. Yanci disclaims responsibility for errors, viruses, or other contamination on the Platform.

15. Indemnification

You agree to indemnify and hold harmless Yanci and Teak Tree from any claims arising from your violation of these Terms. Yanci reserves the right to assume control of the defence of any matter for which you are required to indemnify us.

16. Choice of Law

These Terms are governed by the laws of Ghana. Any disputes will be resolved in the courts of Ghana under Ghanaian law.

17. Class Action Waiver

You agree that any dispute will be resolved on an individual basis and not as part of a class or representative proceeding.

18. Waiver and Severability

A waiver of any provision of these Terms does not waive any other provision. If any provision is found to be invalid, the remaining provisions will remain in full force and effect.

19. Assignment

You may not assign these Terms without Yanci's consent. Yanci may assign these Terms without your consent.

20. Changes to the Platform and These Terms

Yanci reserves the right to change these Terms by posting a revised version on the Platform, with an updated date at the top. Your continued use of the Platform after a revised version is posted means that you accept the new Terms.
